An agency agreement must be clear and well-structured for the avoidance of doubt. The agreement will specify the scope of the agency as well as the territory it covers. It will also set out the obligations of both the agent and principal including payment and commission. Conflict clauses to deal with breach and non- performance should be included, with a clause to provide if possible, solution by mediation.

An agency agreement can be either a sole or exclusive agreement.
